General Terms and Conditions of Use and Sale

Before registering, each User must read the General Terms and Conditions of Use and Sale (GCUS), which form a legal agreement between you and WEAVLY. By registering, you accept these Terms and Conditions and you undertake to respect them. See also the Privacy Policy. Terms beginning with a capital letter are defined in Article 1 of these Terms and Conditions.

Article 1 – Definitions

Terms beginning with a capital letter in these Terms and Conditions are defined in this article. Please refer to this "Definitions" section whenever a capitalized term is used. Buyer: refers to any User who wishes to acquire one or more Items via the WEAVLY platform.

Items: refers to the products/Items that Users add to the platform to be sold.

General Terms and Conditions of Use and Sale (GCUS): refers to the legally binding agreement between WEAVLY and the User, as defined in these General Terms and Conditions.

Privacy Policy: refers to the document defining the way in which WEAVLY collects, uses, processes, stores and transfers personal data.

Website: refers to the WEAVLY platform, including all the functionalities, content and tools available.

Services: refers to all the Services offered by the WEAVLY platform, facilitating the connection between Buyers and Sellers.

Hosting Services: means the Hosting Services provided by WEAVLY on the platform, allowing Users to offer Items for sale, search and view available Items, as well as manage their inventories and communicate privately with other Users, outside of the Platform.

Transaction: refers to the agreement between Users for the purchase of an Item, based on the interactions between Buyers and Sellers, without WEAVLY intervening in the payment process.

User: refers to any person who has created an account on the platform and has accepted these General Terms and Conditions.

Seller: refers to any User who offers one or more Items on the WEAVLY platform.

WEAVLY: Website accessible at https://weavly.app/.

Article 2 - Purpose

The purpose of these General Terms and Conditions of Use and Sale (known as the "Terms and Conditions") is to provide a legal framework for the terms and conditions of provision of the Site and Services by WEAVLY, as well as to define the conditions of access and use of the Services by the User. They also specify the conditions applicable to transactions made between Users, emphasizing that WEAVLY does not intervene directly in these transactions and that no payments are processed on the platform.

Article 3 - Access to the Site and Services

1. Acceptance of the Terms and Conditions

Access to the Site is reserved for Users who have accepted the Terms and Conditions. We reserve the right to restrict or deny access to any User in the event of non-compliance with the Terms and Conditions.

2. Modification of the terms and conditions

WEAVLY reserves the right to modify these General Terms and Conditions of Use and Sale at any time. Users will be notified of the changes by a notice on the Site or by any other appropriate means. It is the responsibility of each User to regularly consult the Terms and Conditions. Continued use of the Site after the posting of changes constitutes acceptance of such changes by the User.

3. Services

WEAVLY offers Hosting Services as an intermediary between Buyers and Sellers. Although WEAVLY is fully responsible for the Services it provides, this liability is limited to its commitments and the conditions defined in these Terms and Conditions. WEAVLY does not intervene in Transactions between Users and does not buy or sell the Items available on the Site.

4. Unauthorized Users

The Site is not intended for use by anyone under the age of 18. If you are a parent or guardian of a minor under the age of 18, you have the option to create an Account and accept these Terms and Conditions on their behalf. However, you will be fully responsible for the use of the Site by such minor and acknowledge that the Site is reserved for Users who are at least 18 years of age.

5. Creating a Seller Account

The creation of a Seller account on the Site is completely free and accessible to any User with access to the Internet. When registering on the Site, you agree to provide true, accurate, up-to-date and complete information. It is important that you maintain and promptly update your Account information to keep it current and complete at all times. During the registration process, Users are asked to provide an email address, a Username (a pseudonym to be used on the Site) and a password so that the Site can identify you each time you log in. The purposes and how we use this data are described in the Privacy Policy.

6. Creating a Buyer Account

The process of creating a Buyer account is not freely accessible on the Site. To do so, it is necessary to make a request by filling in a form accessible to all Users of the Site. WEAVLY reserves the right to fully manage these requests and to accept or not accept them. The creation of a Buyer account implies that the User must have a professional status. WEAVLY may request additional information from the User if necessary.

Article 4 - Addition of Articles to the Site

1. Authorized Items

Only Items that comply with all of the following conditions may be posted on the Site:

- Seller must have the right to transfer ownership of the Item;

- The Seller must not offer for resale Items purchased in bulk, or Items sold via drop shipping methods with a low resale value;

- The sale, use or possession of the Item must not violate the rights of third parties (including intellectual property rights) or violate any applicable local, national or international law or regulation. The Item must be genuine, safe, and not be a counterfeit;

- The Item must meet all market standards, unless specifically agreed between the Buyer and the Seller;

- The Item must be new and unused.

2. Adding an Article

To add an Item to its inventory, the Seller must fill out a form providing accurate information adapted to the nature of the Item. Some fields are optional and do not have a direct impact on listing. They are primarily designed to allow the Seller to manage their inventory more efficiently and in an organized manner.

3. Listing

When the Seller adds an Item to its inventory, it is automatically put up for sale on the Site. This allows any Buyer to submit a purchase proposal at any time. The Seller remains free to accept or refuse this offer.

4. Inventory Modification

The Seller has the ability to modify or remove an Item from its inventory at any time. Some fields may be modified without affecting the way in which the Item is presented for sale on the Site. However, as soon as an Item is removed from inventory, it is immediately removed from sale.

5. Manually adding a sale

The Seller also has the option of manually registering a sale made via a third-party platform, by filling in a dedicated form. These manually recorded sales may be modified or deleted at any time by the Seller. This feature allows Sellers to track their investments and manage their accounting in a centralized and optimized way.

Article 5 – Process for the sale of Items

1. How the Buyers' Bid System Works

To submit an offer to purchase, which will then be communicated to the Sellers, the Buyer must complete a form providing details of the Item sought as well as a price proposal.

2. Sales Process

Once the offer has been accepted by a Seller, the Seller can contact the Buyer directly via an external chat. The two parties are then free to agree on the terms of payment and delivery between themselves. WEAVLY does not intervene at any time in the management of Financial Transactions, which take place entirely outside the Site, and assumes no responsibility in this regard.

3. Completion of the Transaction

Once the Item has been received, the Buyer can validate the Transaction, which marks the closing of the sale on the interface of both parties. In addition, the sale is automatically recorded in the Seller's sales history.

Article 6 – Liability

1. Users' Responsibility

All Users are fully responsible for the information they provide on the Site as well as the Items they offer or sell. They acknowledge and agree that they are fully responsible for adding the Items to their inventory, including any information they post and the accuracy of other information provided. In addition, Users are solely responsible for Transactions made with other Users and for disputes that may result therefrom, except in cases where disputes arise from WEAVLY's failure to comply with its obligations under these Terms and Conditions.

2. User Engagement

Users undertake to comply with all applicable laws, regulations and standards when using the Site. In particular, they must refrain from:

-Infringe the rights of third parties.

-Violate intellectual property rights or add infringing items.

-Submit Articles that violate applicable laws.

-Encourage illegal, discriminatory or violent behaviour.

-Post inaccurate or confidential information.

-Making defamatory statements.

-Endangering minors.

-Disclose other people's personal data or invade their privacy.

-Pretending to be someone else.

-Post Illegal or Inaccurate Content.

Users must act in good faith and use the Site responsibly.

3. WEAVLY's commitments

WEAVLY acts exclusively as an intermediary between Buyers and Sellers. Interactions between them take place outside the Site, and WEAVLY does not manage any Financial Transactions. In the event of a report of inappropriate behavior by a User or visitor, WEAVLY may provide assistance to the relevant party. WEAVLY will also cooperate with the relevant authorities if necessary.

Users acknowledge that WEAVLY is not liable for any direct or indirect losses suffered by third parties or by WEAVLY as a result of non-compliance with these Terms and Conditions. Thus, to the extent permitted by law, WEAVLY shall not be liable for any damages or losses resulting from:

-Of the actions or omissions of Users.

-The accuracy and legality of the Content posted by Users.

-The safety, quality or conformity of the Items sold on the Site.

4. WEAVLY's Liability

WEAVLY cannot be held responsible for User Generated Content. The latter are solely responsible for their publications. As a host, WEAVLY has no contractual obligation to verify Content and, to the extent permitted by law, will not be liable for any damages or losses suffered by visitors or Users in connection with such Content and Articles.

WEAVLY undertakes to remove any duly reported illegal Content, in a detailed and clear manner. In the event of detection of Content or Articles that may infringe the laws in force, WEAVLY will act in accordance with the procedures provided for in the Terms and Conditions.

Users must immediately inform WEAVLY of any problematic or illegal Content, in particular in the event of promotion of hatred, violence, or content of a child pornographic nature, via:

If such Content is reported, WEAVLY reserves the right to immediately suspend the account of the User concerned and to remove the Content, in accordance with the procedures in force.

WEAVLY declines all responsibility for tax or reporting obligations related to the activities of Users on the Site. Users remain fully responsible for the tax obligations arising from their Transactions, in accordance with the applicable legislation.

Finally, although WEAVLY takes measures to secure the data provided by Users, Users must also take precautions to protect their own data against possible risks, such as cyberattacks.

Article 7 – Management of personal data

1. Collection of personal data

When using the WEAVLY Site, certain personal data may be collected. This includes information provided voluntarily by the User when creating his/her account or when using the Services. The data collected may include, but is not limited to, name, email address, and other information relevant to the use of the Services.

2. Use of data

The personal data collected is mainly used to ensure the proper functioning of the Services, facilitate interactions between Buyers and Sellers, and improve the User experience. This data may also be used to communicate information related to the Services, such as updates or special offers.

3. Users' rights

In accordance with the legislation in force, Users have the right to access, rectify and object to their personal data. They can exercise these rights by contacting support or by changing their account settings. Users are also encouraged to provide accurate information and update it as necessary.

4. Data protection

Particular care is taken to ensure the security of personal data. Appropriate technical and organizational measures are in place to protect data from unauthorized disclosure, loss, or inappropriate access. However, it is important to note that no system is completely secure, and Users should also take precautions to protect their personal information.

Article 8 – Cookies and hypertext links

1. Cookies

The User is informed that a cookie may be automatically installed on his or her browser software when visiting the Site. Cookies are small files that are temporarily stored on the computer's hard drive by the browser. They are necessary for the use of the Site, do not contain personal information, and cannot be used to identify an individual. Each cookie contains a unique identifier, randomly and anonymously generated. Some cookies expire at the end of the User's visit, while others remain on the device for a fixed period of time.

The information contained in cookies is used to improve the User experience and the functionalities of the Site. By browsing the Site, the User accepts the installation of these cookies. However, it is possible to disable these cookies via the settings of your browser software.

2. Hypertext links

The Site may contain hypertext links to other Sites. The User is informed that by clicking on these links, he or she will leave the Site. We have no control over the linked web pages and are not responsible for their content. It is recommended that the User consult the privacy and use policies of these Third-Party Sites before visiting them.

By browsing the Site, the User acknowledges that he or she has read these elements and accepts the consequences related to the use of cookies as well as browsing on external Sites.

Article 9 – Intellectual property

1. Content protection

The trademarks, logos, distinctive signs, as well as all the content available on the WEAVLY Website (texts, images, etc.), are protected by the Intellectual Property Code, in particular by copyright. WEAVLY retains all rights to such content.

2. Use of content

The User must obtain prior authorization from WEAVLY for any reproduction, publication or copy of the various contents of the Site. Any use of the contents of the Site must be limited to a strictly private setting. Use for commercial or advertising purposes is strictly prohibited.

3. Reproduction and counterfeiting

The total or partial reproduction of the Site, its content or its graphic elements, without the express authorization of WEAVLY, constitutes an infringement punishable by penalties in accordance with the provisions of Article L335-2 et seq. of the Intellectual Property Code.

4. Quotes and legal notices

In accordance with Article L122-5 of the Intellectual Property Code, the User who reproduces, copies or publishes protected content must mention the author and the source.

Article 10 – Account restriction and blocking

In order to ensure a safe and secure environment for all WEAVLY Users, it may be necessary to apply restrictions or blocks on User accounts. These measures are put in place to protect the platform and its Users.

1. Account Restriction

WEAVLY reserves the right to restrict access to certain features of the Site to Users whose behavior violates the Terms and Conditions of Use and Sale. The Users concerned may encounter the following limitations:

-Inability to offer Items for sale.

-Inability to view Articles referenced by other Users.

2. Account Blocking

In cases of serious or repeated violations of the platform's rules, WEAVLY may block an account temporarily or permanently. A User whose account is blocked will no longer be able to access the platform. In certain circumstances, WEAVLY will inform the User of the reasons for the blocking, but this may be omitted if it would compromise an investigation of fraudulent activity.

3. Reasons for Imminent Blockage

WEAVLY may immediately block accounts in the following cases:

-Behaviour deemed fraudulent or abusive.

-Violations of Applicable Laws or the Rights of Other Users.

-Reporting by Users or third parties about suspicious activity.

4. Notification and right of appeal

When an account is restricted or blocked, WEAVLY will notify the User, unless prohibited by law or in the context of an ongoing investigation. Users will have the right to contest this decision by submitting a request via email.

Article 11 – Governance, Dispute Resolution and Termination

These General Terms and Conditions of Use and Sale (GCUS) are governed by French law. In the event of a dispute, the User may submit a claim to the courts of his or her place of residence or domicile.

1. Dispute Resolution

In the event of a disagreement between WEAVLY and the User, WEAVLY encourages the latter to contact its team in order to try to find an amicable solution. The User may express their concerns in writing by sending an e-mail to the following address: [e-mail address to be defined].

WEAVLY is committed to doing its best to resolve claims amicably. However, if the dispute is not resolved or if the User is not satisfied with the outcome, it is important to note that WEAVLY does not intervene in Transactions between Buyers and Sellers and will not be liable for any disputes that may arise from them.

2. Termination

The User may terminate his or her relationship with WEAVLY at any time with immediate effect. However, the User must fulfill all of its obligations arising from the Transactions it entered into prior to termination. To delete their account, the User must send an email to the address mentioned above specifying their request for termination.

3. Responsibility

It is specified that WEAVLY only acts as an intermediary and does not manage Financial Transactions between Users. Therefore, WEAVLY cannot be held liable for disputes resulting from interactions between Buyers and Sellers. In the event of a report of inappropriate behavior by a User, WEAVLY may provide assistance, but does not undertake to resolve disputes.

4. Transfer of rights

WEAVLY reserves the right to transfer and/or assign all rights and obligations arising from these Terms and Conditions to a third party, subject to compliance with applicable data protection laws. In this case, WEAVLY will notify Users of the transfer 15 days in advance, and Users will have the right to immediately terminate their relationship with WEAVLY and delete their account.

Article 12 – Applicable law and jurisdiction

1. Governing Law

These General Terms and Conditions of Use and Sale (GCUS) are governed by French law. Any question relating to their interpretation, execution or validity shall be subject to French law, without regard to conflict of law rules.

2. Jurisdiction

In the event of a dispute, and subject to the applicable legal provisions, the competent courts will be those of the defendant's place of residence. However, WEAVLY encourages Users to attempt to resolve any dispute amicably. To do so, we invite you to contact us directly to explore alternative solutions.
